This End User License Agreement ("EULA") is a licence between you and the Operator of the Steer application (the "Software"). It supplements the Terms of Service and the Privacy Policy. It is published in particular to satisfy the application-listing requirements of Intuit Inc. for the QuickBooks Online integration used by the Software.
Subject to this EULA, the Operator grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Software, through a web browser or as an installed progressive web application, solely for the internal business purposes of the Operator or of the partner organisation you represent.
You may not: copy, modify, translate or create derivative works of the Software; reverse engineer, decompile or disassemble it, except to the extent the law expressly permits; rent, lease, lend, sell or redistribute it; remove proprietary notices; use it to build a competing product; or use it in violation of applicable law.
The Software interoperates with third-party services, including QuickBooks Online (Intuit Inc.) for accounting synchronisation, mapping providers for geocoding and routing, and email and notification providers. Your use of those services through the Software is also subject to their own terms. The Operator is not responsible for third-party services. Accounting data exchanged with QuickBooks Online is limited to the invoices, bills, customers and vendors of the Operator; the Software does not access your personal QuickBooks account.
The Software is licensed, not sold. The Operator and its licensors retain all right, title and interest in the Software, including all intellectual-property rights. Feedback you provide may be used by the Operator without obligation.
The Operator may deploy updates, patches and new versions at any time. Updates are governed by this EULA unless accompanied by separate terms.
This EULA is effective until terminated. It terminates automatically if you breach it or when your account is closed. Upon termination you must stop using the Software and remove any installed copy. Sections 2, 4, 7 and 8 survive termination.
To the fullest extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
To the fullest extent permitted by law, the Operator will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or related to this EULA or the Software. Nothing in this EULA limits liability that cannot be limited under Québec law.
This EULA is governed by the laws of Québec and the federal laws of Canada applicable therein. The courts of the judicial district where the Operator has its head office have exclusive jurisdiction.
